This license terminates when you delete your Customer Data or when your account is terminated.
You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data. You represent and warrant that you have all necessary rights and permissions to submit Customer Data to the Service and that doing so does not violate the rights of any third party.
The Service, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by FactorGenie and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms.
Access to certain features of the Service may require a paid subscription. The applicable fees, billing cycle, and plan details will be presented to you at the time of purchase and may be updated from time to time. We will provide reasonable advance notice of any pricing changes.
By subscribing to a paid plan, you authorize FactorGenie (or our payment processor) to charge the payment method on file for all applicable fees. You are responsible for providing accurate and current payment information.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period. No refunds will be issued for partial billing periods unless otherwise required by applicable law.
We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, FACTORGENIE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
FACTORGENIE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. FACTORGENIE DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY RESULTS, DATA, OR ANALYSIS PROVIDED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO FRAUD DETECTION RESULTS, DOCUMENT VERIFICATION, OR LOAD MATCHING OUTPUTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FACTORGENIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF FACTORGENIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FACTORGENIE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO FACTORGENIE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless FactorGenie and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Customer Data.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is: (a) publicly available through no fault of the receiving party; (b) rightfully received from a third party without restriction; (c) independently developed by the receiving party; or (d) required to be disclosed by law or legal process.
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may request a copy of your Customer Data within thirty (30) days of termination; after that period, we may delete your data in accordance with our standard practices.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page and, for material changes, provide notice through the Service or by other appropriate means. Your continued use of the Service after any changes indicates your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
